Terms of Use - After The Wedding Day

Service Charges

We charge the gift purchaser a 6% service charge on their purchase of the registrant's gift. We have no sign-up fee and the registered couple receives the full dollar amount of the gift purchased.

AfterTheWeddingDay.com, Inc. ("AfterTheWeddingDay.com") provides this Terms of Use to you as a user of AfterTheWeddingDay.com. By using AfterTheWeddingDay.com you are indicating your willingness to be bound by all the terms of this agreement. If you do not wish to be bound by this agreement, please do not use AfterTheWeddingDay.com. We reserve the right to change the Terms and Conditions of this agreement at any time and without prior notice to you, but such changes will only be effective when they are posted to this site. You agree to be bound by all of the terms of this and all future agreements as long as you use AfterTheWeddingDay.com.

By registering to become a member of AfterTheWeddingDay.com, you attest that all information provided by you in the registration is true and accurate. AfterTheWeddingDay.com reserves the right to modify or discontinue AfterTheWeddingDay.com at anytime without notice to you. Any such modifications or termination of service announcements will be posted to the website.

Member Conduct

You agree to use AfterTheWeddingDay.com for lawful purposes only. You may not use, or allow others to use your AfterTheWeddingDay.com membership either directly or indirectly to:

Post or transmit any content that is abusive, vulgar, obsene, hateful, fraudulent, unlawful, threatening, harassing, or defamatory.
Post or transmit any matter that you do not have a right to transmit under law (such as copyright-protected material) or under contractual or fiduciary relationships (such as non-disclosure agreements).
Harass or threaten any member of AfterTheWeddingDay.com or any other person or entity.
Harm minors in any way.
Post, transmit, promote, link to or facilitate the distribution of any content that can be construed as libel, slander, harassment, hate speech, obscenity, pornography or cruelty to animals.
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with any person or entity, including the forging or headers or other manipulators or identifiers in order to disguise the origin of any content or transmission source.

Offer, sell or purchase any registered or unregistered securities;
Violate any software license agreement;
Violate any applicable local, state, national, international or foreign law or regulation;
Post or otherwise transmit software viruses or other computer code, files or programs designed to inhibit, block or jam the functionality of computer software, hardware, or telecommunications equipment;
Collect or store personal data about other users;
Engage in unapproved commercial activity;
Send unsolicited e-mail ("spam").

You agree that AfterTheWeddingDay.com may at any time, and at its sole discretion, terminate your membership without prior notice to you for suspected violation of the above provisions.

As a user, you are responsible for protecting your password. You agree that you will be responsible for any and all statements made while using this site, and acts or omissions that occur, through the use of your membership and password. If you have reason to believe or become aware of any loss, theft, or unauthorized use of your membership account or password, notify AfterTheWeddingDay.com immediately.

Member-Provided Content

You understand that all information, text, messages, and any other material posted on AfterTheWeddingDay.com by Members ("Member Content") is the sole responsibility of the person from which such Member Content originated. This means that the member, not AfterTheWeddingDay.com, are entirely responsible for the content you upload, post or otherwise transmit. AfterTheWeddingDay.com does not control the Member Content that is posted and therefore does not guarantee the accuracy or integrity of the Member Content. In addition, you acknowledge that you may be exposed to content that is offensive or objectionable to you.

AfterTheWeddingDay.com's Rights Regarding Member Content

AfterTheWeddingDay.com does not claim ownership of the Member Content you place on AfterTheWeddingDay.com. Except as limited and regulated by our Privacy Policy, by placing content on AfterTheWeddingDay.com you grant AfterTheWeddingDay.com an unlimited license to republish, reproduce, modify and adapt the Member Content for the purpose of administering and promoting AfterTheWeddingDay.com. AfterTheWeddingDay.com Content is defined as any information, data, text, messages, articles, software, methods or processes, photos, video, graphics, music, sounds and any other material or services that are found on AfterTheWeddingDay.com, excluding Member Provided Content. By accepting this Agreement, you agree that all AfterTheWeddingDay.com Content is the sole property of AfterTheWeddingDay.com and its licensors shall retain all right, title and interest in and to the Content, which may not be reproduced without prior written consent of AfterTheWeddingDay.com. All AfterTheWeddingDay.com Content herein is protected under US and international copyright, trademark and other laws and is only intended for the personal use of the Members. You may not modify, publish, retransmit, participate in the transfer or sale of, copy (other than temporary copies that may appear in or be created by your browser), create derivative works of, distribute, perform or display any of the AfterTheWeddingDay.com Content in any way, except that you may make one copy for your personal use.

AfterTheWeddingDay.com Advertising You acknowledge that AfterTheWeddingDay.com has the right to advertise and post promotions on AfterTheWeddingDay.com. You acknowledge that site users may not advertise or post promotions on AfterTheWeddingDay.com without express permission from AfterTheWeddingDay.com.

Indemnity

You agree to indemnify, defend and hold harmless AfterTheWeddingDay.com from and against any claim, liability, cost, damage or loss it may incur (including, without limitation, attorneys fees) as a result of (i) your use of Member Content or AfterTheWeddingDay.com Content; (ii) any content provided by you; (iii) any violation by you of your obligations under this Agreement; and (iv) any violation by you of the rights of others.

Trademarks

The trademarks, logos, and service marks (collectively the "Trademarks") displayed on AfterTheWeddingDay.com are the registered and unregistered Trademarks of AfterTheWeddingDay.com and others. Except as provided in this Agreement or by written permission of AfterTheWeddingDay.com, your use, appropriation or misrepresentation of the Trademarks displayed on this site is strictly prohibited. AfterTheWeddingDay.com will aggressively enforce its intellectual property rights to the fullest extent of the law.

No Resale of Services

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes the service provided by the AfterTheWeddingDay.com web site or its use or access.

Practices Regarding Use and Storage of Data

AfterTheWeddingDay.com may place limits on the use and storage of data on our site. For example, AfterTheWeddingDay.com may limit the length of time that Member Content can remain on the site, or set limits regarding maximum or minimum levels of activity. You acknowledge that although AfterTheWeddingDay.com may provide you with the opportunity to support charitable and/or other non-profit organizations through the use of our services, you understand that AfterTheWeddingDay.com is a privately owned company. You further acknowledge that AfterTheWeddingDay.com is not responsible for the transactions you may conduct with the charitable/non-profit organizations as a result of your use of the AfterTheWeddingDay.com services. AfterTheWeddingDay.com is not responsible for monitoring, confirming, or reviewing the conduct, status, representations, or other actions or omissions of the charitable/non-profit organizations.

You agree that AfterTheWeddingDay.com will not be held liable to anyone for any loss or injury resulting from your direct or indirect use of AfterTheWeddingDay.com. This includes, but is not limited to, loss or injury caused in whole or in part by contingencies beyond AfterTheWeddingDay.com's control in procuring, compiling, interpreting, reporting, operating or delivering any portion of AfterTheWeddingDay.com. Further, you agree that AfterTheWeddingDay.com assumes no responsibility for any and all transactions you may conduct with any parties as a result of your use of the AfterTheWeddingDay.com services. Some jurisdictions do not allow the disclaimer of such warranties, so this may not apply to you, but the disclaimer will apply to the furthest extent allowed by law.

Disclaimer of Liability

You acknowledge that AfterTheWeddingDay.com will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if AfterTheWeddingDay.com has been advised of the possibility of such damages), resulting from or related to the use or inability to use AfterTheWeddingDay.com. Some jurisdictions do not allow the waiver of such damages, so this may not apply to you, but the waiver will apply to the furthest extent allowed by law.

Taxation Consequences

You acknowledge that AfterTheWeddingDay.com makes no claims or promises regarding any and all tax obligations or consequences that may result from your activities as a Member of AfterTheWeddingDay.com and your use of the services provided by AfterTheWeddingDay.com. Furthermore, you agree that AfterTheWeddingDay.com has no obligation to maintain records or provide you with documentation of your transactions with charitable/non-profit organizations for tax reporting purposes.

Cancelled or Postponed Weddings

Please notify AfterTheWeddingDay.com of a wedding postponement of cancellation as soon as possible. If the wedding will be delayed, you must log into your registry account with your email and password to edit your wedding date. If you have not received a check from AfterTheWeddingDay.com for your gifts and your wedding is cancelled, we will reverse the charges on all of your guests' credit cards at no cost to you. In the event that we have already sent you a check for your gifts, it is up to you to return those funds to your family and friends.

Large Purchases, disputed purchases and pending credit card purchases

AfterTheWeddingDay.com reserves the right to request an authorizing signature on purchases exceeding a pre-determined amount in an effort to protect against the possibility of credit card fraud. This is primarily aimed at protecting the gift purchasers and so requires an active communication effort with them as well as their cooperation. Please note that these funds may be subject to escrow until authorization or an unspecified period of time. AfterTheWeddingDay.com reserves the right to collect payment from the gift recipient if a gift purchaser disputes and fails to resolve any credit card matters after which a gift has already been delivered to the gift recipient. Although AfterTheWeddingDay.com will make every effort to collect the funds from the purchaser, a dollar amount, equal to the disputed purchase amount may be held in escrow until authorization and resolution of credit card dispute are resolved.

Miscellaneous

If any provision in this Agreement is invalid or unenforceable under applicable law, it will be enforced to the furthest extent possible and the remaining provisions will continue in full force and effect. This Agreement, your rights and obligations, and all actions contemplated by this Agreement will be governed by the laws of the United States of America and the State of California (except with respect to choice of law), as if the Agreement were a contract wholly entered into and wholly performed in San Diego County, California. Any dispute, controversy or claim arising out of or relating to this Agreement will be resolved exclusively in the federal or state courts located in San Diego, California and you hereby consent to the jurisdiction and venue of such courts. BY USING AfterTheWeddingDay.com YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS.

Copyright Policy

AfterTheWeddingDay.com prohibits the posting of materials that infringe the intellectual property rights of others. In addition, AfterTheWeddingDay.com expressly reserves the right to remove any content that infringes the intellectual property of others or that violates AfterTheWeddingDay.com's Terms of Use. AfterTheWeddingDay.com may terminate the accounts of users who AfterTheWeddingDay.com has reason to believe have engaged in such conduct.

If you believe that your work has been copied in a way that constitutes copyright infringement, please contact AfterTheWeddingDay.com with the following information:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
a description of the copyrighted work that you claim has been infringed;
a description of where the material that you claim is infringing is located on the AfterTheWeddingDay.com web site; your address, telephone number, and e-mail address;
a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
